Thanks to everyone who responded.  I finally won big when I installed
LILO into the superblock of sda2, instead of the MBR...I've *ALWAYS*
installed LILO into the MBR and never had a problem...but whatever LILO
wants, LILO gets (ala where does a 3000lbs elephant get to sit? 
Anywhere it wants to!).  System boots fine now, no problems.  Now if I
can get SMP to work...
